Existing Holder Clause Samples
The 'Existing Holder' clause defines and identifies a party who already possesses certain rights, interests, or assets prior to the execution of the agreement. In practice, this clause clarifies the status and entitlements of such a party, often specifying the scope of their existing holdings and how these may be affected by the new agreement. By clearly delineating the rights of the existing holder, the clause helps prevent disputes over ownership or priority, ensuring that all parties understand the pre-existing claims and how they interact with the terms of the contract.
Existing Holder. If BD believes it is the Existing Holder of fewer shares of such series than specified by the Auction Agent in response to BD's inquiry, BD may so inform the Auction Agent of that belief. BD shall not, in its capacity as Existing Holder of shares of such series, submit Orders in such Auction in respect of shares of such series covering in the aggregate more than the number of shares of such series specified by the Auction Agent in response to BD's inquiry.
Existing Holder. The term “Existing Holder” means has the same meaning as the term “Holder” in the 2011 Shareholders Agreement.
Existing Holder. For purposes of this Schedule 1, the term “Existing Holder” has the same meaning as the term “Holder” as set forth in Schedule 2 of the Existing Shareholders Agreement.
Existing Holder. The term “Existing Holder” shall mean any Person who is the Beneficial Owner or Constructive Owner of shares of Capital Stock in excess of the Aggregate Stock Ownership Limit or Ownership Limit, as applicable, on the Initial Date, so long as, but only so long as, such Person Beneficially Owns or Constructively Owns shares of Capital Stock in excess of the Aggregate Stock Ownership Limit or Ownership Limit, as applicable.
Existing Holder. The term "Existing Holder" means the holders of registration rights pursuant to that certain Investors' Rights Agreement, dated as of July 1, 2002, by and among the Company, Merchant Partners LLC and the persons and entities listed on Exhibit A thereto (the "Existing Investors' Rights Agreement").
Existing Holder.
