Common use of Existing Debt, Etc Clause in Contracts

Existing Debt, Etc. Other than the Debt Documents described in EXHIBIT B, no Seller has entered into any contract or agreement with respect to the financing of any of the Properties which will be binding on such Purchaser after the Closing. The copies of the Debt Documents heretofore delivered by each Seller to such Purchaser are true, correct and complete copies thereof; the Debt Documents have not been amended except as evidenced by amendments similarly delivered and constitute the entire agreement between the Seller and the parties thereto. Except as otherwise set forth in EXHIBIT B: (i) to the Sellers' knowledge, each of the Debt Documents is in full force and effect on the terms set forth therein, there are no defaults or circumstances which with the giving of notice, the passage of time or both would constitute a default; and (ii) no party thereto has asserted in writing any defense to, offsets or claims against its obligations thereunder.
