Existence and Authority; Legal Power. The School District is a “school district” as defined in the Act, duly created and existing under the laws of the State and has full legal right, power and authority to (i) conduct its business and own its properties, (ii) enter into this Financing Agreement and the Continuing Disclosure Agreement, (iii) adopt the School District Resolution, (iv) issue and deliver the School District Bonds to the Authority as provided herein, and (v) carry out and consummate all other transactions contemplated by each of the aforesaid documents.
