Exercício e Condições. Em troca do Aporte da PDP, a Sierra terá o direito de receber Ações recém-emitidas da Companhia. A capacidade da Sierra de exercer o Aporte da PDP estará sujeito: (A) à titularidade, pelo Grupo Sierra, de pelo menos a Participação Mínima imediatamente antes da concretização do Aporte da PDP; e (B) à renúncia, pela Sierra, por escrito, do direito de exercer a opção de venda nos termos do Contrato de Opção de Venda, sendo certo que essa renúncia estará condicionada à concretização do Aporte da PDP. Para fins de esclarecimento, a renúncia da Sierra da opção de venda nos termos do Contrato de Opção de Venda estará sujeita e condicionada à concretização irrevogável do Aporte da PDP, no qual o Aporte da PDP deva ocorrer, caso contrário, a Sierra poderá novamente exercer a opção de venda nos termos do Contrato de Opção de Venda.
