Common use of Executive’s Representations Clause in Contracts

Executive’s Representations. The Executive hereby represents and warrants to the Company that: (i) the execution, delivery and performance of this Agreement by the Executive do not and shall not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Executive is a party or by which the Executive is bound; (ii) the Executive is not a party to or bound by any employment agreement, noncompetition or nonsolicitation agreement or confidentiality agreement with any other person or entity besides the Company and (iii) upon the execution and delivery of this Agreement by the Company, this Agreement shall be the valid and binding obligation of the Executive, enforceable in accordance with its terms. THE EXECUTIVE HEREBY ACKNOWLEDGES AND REPRESENTS THAT THE EXECUTIVE HAS CONSULTED WITH INDEPENDENT LEGAL COUNSEL REGARDING THE EXECUTIVE’S RIGHTS AND OBLIGATIONS UNDER THIS AGREEMENT, TO THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY THE EXECUTIVE, AND THAT THE EXECUTIVE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREIN.

Executive’s Representations. THE EXECUTIVE HEREBY ACKNOWLEDGES ACKNOWLEDGES, AGREES AND REPRESENTS THAT THE EXECUTIVE HAS CONSULTED WITH INDEPENDENT LEGAL COUNSEL REGARDING THE EXECUTIVE’S RIGHTS AND OBLIGATIONS UNDER THIS AGREEMENT, TO AGREEMENT AND THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY TERMS OF THE EXECUTIVE, RELEASE ATTACHED AS EXHIBIT A AND THAT THE EXECUTIVE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREINHEREIN AND THEREIN.

The Company hereby represents and warrants to Executive that (i) the execution, TO THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY THE EXECUTIVEdelivery and performance of this Agreement by the Company do not and shall not conflict with, AND THAT THE EXECUTIVE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREINbreach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Company is a party or by which it is bound and (ii) upon the execution and delivery of this Agreement by Executive, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.

As a inducement to the Company to enter into this Agreement, TO THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY THE EXECUTIVE, AND THAT THE EXECUTIVE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREINExecutive acknowledges and agrees that no provision contained herein shall entitle her to remain in the employment of the Company or any of its Subsidiaries or affect the right of the Company to terminate her employment at any time and for any reason.

Executive’s Representations. The Executive hereby represents and warrants to the Company that: that (i) the Executive’s execution, delivery and performance of this Agreement by the Executive do not and shall not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Executive is a party or by which the Executive he is bound; , (ii) Executive has provided the Executive is not Company with a party to or bound by any employment agreement, noncompetition or nonsolicitation agreement or confidentiality redacted version of his letter agreement with any other person or entity besides the Company his previous employer (Kruger Paper) which sets forth Executive’s ongoing obligations to such prior employer regarding confidentiality (“Confidentiality Clause”) and (iii) upon the execution and delivery of this Agreement by the Company, this Agreement shall be the valid and binding obligation of the Executive, enforceable in accordance with its terms. THE EXECUTIVE HEREBY ACKNOWLEDGES AND REPRESENTS THAT THE EXECUTIVE HAS CONSULTED WITH INDEPENDENT LEGAL COUNSEL REGARDING THE EXECUTIVE’S RIGHTS AND OBLIGATIONS UNDER THIS AGREEMENTExecutive acknowledges that he is subject to ongoing obligations to his prior employer under the Confidentiality Clause, TO THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY THE EXECUTIVE, AND THAT THE EXECUTIVE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREINrepresents that he is not bound by any other noncompete or confidentiality restrictions and agrees that he shall abide by and shall not violate the Confidentiality Clause. THE EXECUTIVE HEREBY ACKNOWLEDGES AND REPRESENTS THAT THE EXECUTIVE HE HAS CONSULTED WITH INDEPENDENT LEGAL COUNSEL REGARDING THE EXECUTIVE’S HIS RIGHTS AND OBLIGATIONS UNDER THIS AGREEMENT, TO THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY THE EXECUTIVE, AGREEMENT AND THAT THE EXECUTIVE HE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREINHEREIN AND THEREIN.

Executive’s Representations. The Executive hereby represents and warrants to the Company that: that (i) the execution, delivery and performance of this Agreement by the Executive do not and shall not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Executive is a party or by which the Executive he is bound; , (ii) except for the Employment Agreement between Macy’s East and Executive dated as of September 1, 2007 (a copy of which has been provided to the Company), Executive is not a party to or bound by any employment agreement, noncompetition or nonsolicitation noncompete agreement or confidentiality agreement with any other person or entity besides the Company and (iii) upon the execution and delivery of this Agreement by the Company, this Agreement shall be the valid and binding obligation of the Executive, enforceable in accordance with its terms. THE EXECUTIVE HEREBY ACKNOWLEDGES ACKNOWLEDGES, AGREES AND REPRESENTS THAT THE EXECUTIVE HAS CONSULTED WITH INDEPENDENT LEGAL COUNSEL REGARDING THE EXECUTIVE’S RIGHTS AND OBLIGATIONS UNDER THIS AGREEMENT, TO AGREEMENT AND THE EXTENT DETERMINED NECESSARY OR APPROPRIATE BY TERMS OF THE EXECUTIVE, RELEASE ATTACHED AS EXHIBIT A AND THAT THE EXECUTIVE FULLY UNDERSTANDS THE TERMS AND CONDITIONS CONTAINED HEREINHEREIN AND THEREIN.
