Common use of Executive Order No Clause in Contracts

Executive Order No. 13224. Neither the Borrower, nor or any Affiliate of the Borrower, or their respective agents acting or benefiting in any capacity in connection with the Loans or other transactions hereunder, is any of the following (each, a “Blocked Person”): (A) a Person that is listed in the annex to, or is otherwise subject to the provisions of, the Executive Order No. 13224; (B) a Person owned or controlled by, or acting for or on behalf of, any Person that is listed in the annex to, or is otherwise subject to the provisions of, the Executive Order No. 13224; (C) a Person or entity with which any Lender is prohibited from dealing or otherwise engaging in any transaction by any Anti-Terrorism Law; (D) a Person or entity that commits, threatens or conspires to commit or supports “terrorism” as defined in the Executive Order No. 13224; (E) a Person or entity that is named as a “specially designated national” on the most current list published by the U.S. Treasury Department Office of Foreign Asset Control at its official website or any replacement website or other replacement official publication of such list, or (F) a Person or entity who is affiliated or associated with a person or entity listed above.

Executive Order No. 13224. Neither the Borrower, No Loan Party nor any Subsidiary or Affiliate thereof or any Affiliate of the Borrower, or their respective agents acting or benefiting in any capacity in connection with the Loans or Letters of Credit or other transactions hereunder, contemplated hereunder or under any of the other Loan Documents is any of the following (each, each a “Blocked Person”): ): (Ai) a Person that is listed in the annex to, or is otherwise subject to the provisions of, the Executive Order No. 13224; ; (Bii) a Person owned or controlled by, or acting for or on behalf of, any Person that is listed in the annex to, or is otherwise subject to the provisions of, the Executive Order No. 13224; ; (Ciii) a Person or entity with which any Lender Lending Party is prohibited from dealing or otherwise engaging in any transaction by any Anti-Terrorism Law; ; (Div) a Person or entity that commits, threatens or conspires to commit or supports “terrorism” as defined in the Executive Order No. 13224; ; (Ev) a Person or entity that is named as a “specially designated national” on the most current list published by the U.S. Treasury Department Office of Foreign Asset Control at its official website or any replacement website or other replacement official publication of such list, or or (Fvi) a Person or entity who is affiliated or associated with a person Person or entity listed above.
