Executive Duties. Upon the Effective Date, Executive is hereby vested with such powers and duties as are designated by the Bylaws of Employer, as amended from time to time (“Bylaws”), by the Board, by any duly authorized Committee of the Board, or by the Chief Executive Officer of Employer. Subject to the control of the Board and the Chief Executive Officer, Executive shall have the authority set forth in Employer’s job description for Executive’s position, as may be amended from time-to-time by Employer. Executive shall report to the Chief Executive Officer.
