Common use of Executive Duties Clause in Contracts

Executive Duties. Upon the Effective Date, Executive is hereby vested with such authority, powers and duties as are designated by the Bylaws of Employer, as amended from time to time (“Bylaws”), by the Board, by any duly authorized Committee of the Board, or by the Chief Executive Officer of Employer. Executive shall report to the Chief Executive Officer of Employer.

Subject to the control of the Boards and the Chief Executive Officer, Executive shall have the authority set forth in Employer’s job description for Executive’s position, as may be amended from time-to-time by Employer. Executive shall report to the Chief Executive Officer of EmployerOfficer.

Subject to the Boardcontrol of the Boards, Executive shall have general executive supervision of the business and affairs of Employer and shall be senior in rank to all other officers of Employer. As President and Chief Executive Officer, Executive shall have the authority to sign contracts, bills, notes, drafts and other obligations of Employer, as granted to the President or by the Chief Executive Officer of Employerby the Bylaws or a Board and in accordance with appropriate governmental regulation. Executive shall report to the Chief Executive Officer of EmployerBoards.
