Common use of Execution; Delivery Clause in Contracts

Execution; Delivery. This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together will constitute one and the same instrument. This Agreement may be executed by manual or electronic signatures. The parties agree that: (i) any such electronic signatures are intended to authenticate this writing and to have the same force and effect as manual signatures; and (ii) for purposes of this Section 11.12, “electronic signature” means any electronic sound, symbol, or process attached to or logically associated with a record and executed and adopted by a party with the intent to sign such record. Delivery of an executed copy of this Agreement by email or other means of electronic transmission constitutes valid and effective delivery. This Section 11.12 shall apply, mutatis mutandis, to all Statements of Work and change orders (as described in the professional services exhibit attached hereto).
