Common use of Execution and Enforceability Clause in Contracts

Execution and Enforceability. This Agreement has been duly executed ---------------------------- and delivered by the Seller and constitutes, and the other agreements, documents and instruments to be executed by the Seller in connection herewith, when duly executed and delivered by the Seller, shall constitute, the legal, valid and binding obligations of the Seller, enforceable against the Seller in accordance with their respective terms except to the extent that enforceability may be limited by bankruptcy, insolvency and other securities laws affecting the enforcement of creditors' rights generally and general equity principles.
