Execution and Delivery of Documents of Title by the Company. At the Closing, the Company shall execute and deliver to the Buyer a xxxx of sale, in substantially the form attached hereto as Exhibit B (the “Xxxx of Sale”) and such deeds, conveyances, certificates of title, assignments, assurances and other instruments and documents as the Buyer may reasonably request in order to affect the sale, conveyance, and transfer of the Purchased Assets from the Company to the Buyer. Such instruments and documents shall be sufficient to convey to the Buyer good and merchantable title in all of the Purchased Assets. The Company will, from time to time after the Closing Date, take such additional actions and execute and deliver such further documents as the Buyer may reasonably request in order to more effectively sell, transfer and convey the Purchased Assets to the Buyer and to place the Buyer in position to operate and control all of the Purchased Assets.

Execution and Delivery of Documents of Title by the Company. At the Closing, FNS shall execute and deliver to Acquisition Sub a Xxxx of Sale in form reasonably satisfactory to CRA and FNS and such deeds, conveyances, bills of sale, certificates of title, assignments, assurances and other instruments and documents as Acquisition Sub may reasonably request in order to effect the sale, conveyance, and transfer of the Purchased Assets from FNS to Acquisition Sub. Such instruments and documents shall be sufficient to convey to Acquisition Sub good and merchantable title in all of the Purchased Assets.   • THE TRUST; DELIVERY OF DOCUMENTS The Trust is engaged in the business of investing and reinvesting its assets in securities of the type and in accordance with the limitations specified in its Declaration of Trust, as amended or supplemented from time to time, By-Laws (if any) and Registration Statement filed with the Securities and Exchange Commission (the "Commission") under the 1940 Act and the Securities Act of 1933 (the "Securities Act"), including any representations made in the prospectus and statement of additional information relating to the Funds contained therein and as may be supplemented from time to time, all in such manner and to such extent as may from time to time be authorized by the Trust's Board of Trustees (the "Board"). The Board is authorized to issue any unissued shares in any number of additional classes or series.
