Common use of Evidence of Corporate Action Clause in Contracts

Evidence of Corporate Action. Lender shall have received certified copies of all corporate action (in form and substance satisfactory to Lender) taken by Borrower to authorize the execution, delivery and performance of this Agreement, the Notes, and the other Financing Agreements to which it is a party, and the borrowings to be made hereunder and thereunder, together with true copies of Borrower's Certificate of Incorporation and By-laws and such other papers as Lender or its counsel may require.

Evidence of Corporate Action. The Lender shall have received certified copies of all corporate or other required action (taken by each Borrower to authorize this Agreement, the Loan Documents and the borrowing hereunder, and such other documents as the Lender may reasonably require relating to the existence of the Borrowers, the authority for and the validity of this Agreement, the Note and the Warrants, and any other matters relevant hereto, all in form and substance satisfactory to Lender) taken by Borrower to authorize the execution, delivery and performance of this Agreement, the Notes's counsel, and indicating the other Financing Agreements name and title of the officer or officers of each Borrower authorized to which it is a party, sign this Agreement and the borrowings to be made hereunder and thereunder, together with true copies of Borrower's Certificate of Incorporation and By-laws and such other papers as Lender or its counsel may requireLoan Documents.
