Common use of Evidence of Corporate Action Clause in Contracts

Evidence of Corporate Action. CoBank shall have received in form and substance satisfactory to CoBank, documents evidencing all corporate action taken by each of Borrower and Guarantor to authorize execution, delivery and performance of the Loan Documents to which it is a party, certified to be true and correct by the Secretary or Assistant Secretary of Borrower and Guarantor, respectively.
