Common use of Evidence of Authority Clause in Contracts

Evidence of Authority. The Custodian shall be protected in acting upon any instructions, notice, request, consent, certificate or other instrument or paper believed by it to be genuine and to have been properly executed by or on behalf of the applicable Fund. The Custodian may receive and accept a copy of a resolution certified certificate signed by the Secretary or an Assistant Secretary of any Fund Authorized Person as conclusive evidence of: (a) of the authority of any person to act in accordance with such resolution certificate; or (b) of any determination determination, direction or of any action by the applicable Board Fund as described in such resolutioncertificate, and such resolution certificate may be considered as in full force and effect until receipt by the Custodian of written notice to the contrarycontrary from an Authorized Person of the Fund.
