Common use of Events Excusing Performance Clause in Contracts

Events Excusing Performance. In the event of strikes, lock-outs, calamities, acts of God, unavailability of supplies or other events over which Administrator has no control, Administrator shall not be liable to the Group for failure to perform any of the services required hereunder and the Group shall not have the right to terminate this Agreement pursuant to Section 10.3(b), for so long as such events continue and for a reasonable period of time thereafter; provided however that if such events continue and Administrator is not able to perform any material portion of the services required hereunder for a period of 120 consecutive days or more, either Administrator or Group may terminate this Agreement by written notice to the other.
