Evaluation Materials Clause Samples

The Evaluation Materials clause defines the terms under which certain materials, information, or products are provided to a party solely for the purpose of evaluation or testing. Typically, this clause specifies what constitutes evaluation materials, restricts their use to non-commercial, internal assessment, and may require the recipient to return or destroy the materials after the evaluation period. Its core function is to protect the provider’s intellectual property and confidential information while allowing the recipient to assess the materials’ suitability, thereby minimizing the risk of misuse or unauthorized disclosure.
Evaluation Materials. Buyer’s access to an evaluation or trial use of Products (“Evaluation Materials”), is limited to evaluating the Products provided for Buyer’s internal, non-production use during the time period stated, or if not stated, for thirty (30) days. Additional restrictions regarding Evaluation Materials, including, without limitation any requirements to return or uninstall such Evaluation Materials, may be listed in an Order or in the relevant Software ▇▇▇▇. Without limiting any other disclaimers in this Agreement, the Evaluation Materials are provided “AS IS,” without any acceptance criteria or testing, indemnification, support, representation, warranty or other obligation of any kind (express, implied, or statutory).
Evaluation Materials. An employee will receive a copy of his or her evaluation within a reasonable period of time after all criteria for the evaluation have been met. Management will maintain all evaluation materials in a confidential manner to the extent consistent with American University policies and applicable law. An employee may request and will be provided with materials in his or her evaluation file, with confidential or identifying information redacted.
Evaluation Materials. Prior to the initial meeting between the evaluator and evaluatee referred to in Section F.1. of this Article, the employee shall be provided a copy of CSTP Standards and observation forms, California State Standards, a calendar of all evaluation deadlines, the areas to be utilized (if they exist) in his/her evaluation, if different from those described in Section E.1. a.-e. below, and any District procedural guidelines relevant to the employee's assignment. At the initial meeting, the evaluator shall ascertain whether the employee has a copy of the current District-wide objectives, philosophy, goals and current curricular objectives appropriate to the subjects and/or grade levels taught. Should it be determined that the employee does not have a copy of the items mentioned herein, the evaluator shall provide the employee with copies.
Evaluation Materials. An Employee whose total assigned obligation during an Academic Year or period of appointment, including any overload assignment, includes assigned duties outside the evaluating Division/Department shall submit evaluation materials relevant to those duties in the portfolio. Evaluation materials may include documentation of primary duties, research/creative activity, and/or service from the other Division/Department (s).
Evaluation Materials. Materials used in the process of evaluation of an Employee shall be materials included in the evaluation portfolio as noted in Article 18.1, materials referred to in the Employee's supporting materials, written materials that have been sent to the Employee by his/her Chair, ▇▇▇▇, and/or ▇▇▇▇▇▇▇/Vice President for Academic Affairs or designee, and materials in the Employee's personnel file, except for confidential materials submitted in connection with the Employee's initial appointment. Documentation of program needs may be used where program needs are the basis of a non-retention recommendation or decision.
Evaluation Materials. Evaluation materials will be maintained in an employee’s evaluation file, which the employee may request to review upon reasonable notice.
Evaluation Materials. In connection with the Transaction, the Company and/or its broker, LEVEL Realty Partners, LLC (“Broker”) may make available for Recipient’s review certain information relating to the Transaction, including information on the Property and the Company (the “Evaluation Materials”), conditioned on Recipient’s execution of this Agreement. Except for Excluded Materials (as hereinafter defined), Evaluation Materials shall include all non- public, proprietary, and confidential information relating to the Transaction, the Property, or the Company (including its subsidiaries and affiliates), whether disclosed to Recipient before or after the date of this Agreement and whether in verbal, written, electronic, or any other form and whether or not marked, designed, or otherwise identified as “confidential.” Evaluation Material shall include, without limitation: (a) financial information, performance results, projections, business plans, and budgets; (b) building plans and specifications, lease information, property contracts, environmental investigation results, and other consultants’ reports; and (c) information regarding the Company’s (and its affiliates’ or subsidiaries’) organizational structure, investors, and investment terms; and (d) any other information that should reasonably be recognized as confidential information of the Company. Without limiting the foregoing, all documents, notes, summaries, studies, or analyses prepared by Recipient or its Representatives (defined below) that contain, are based on, or derived from any Evaluation Materials provided by the Company or Broker shall be deemed Evaluation Materials for the purposes of this Agreement.

Evaluation Materials. The software and related documentation and the equipment and related documentation described in this Section 10 may be referred to individually and collectively as the “Evaluation Materials.”
Evaluation Materials all third party materials, documents, reports, studies and information furnished to or obtained by Purchaser concerning the Property other than the Seller’s Documents.
