Common use of Establishment of Escrow Account; Escrow Period Clause in Contracts

Establishment of Escrow Account; Escrow Period. (a) On or prior to the commencement of the Offering, the parties shall establish the Escrow Account with the Escrow Agent, which shall be entitled “UMB Bank as Agent for FS Energy and Power Fund II — Escrow Account.” Prior to meeting the Minimum Offering Requirement, the Dealer Manager and Selected Dealers will instruct subscribers to make checks for subscriptions payable to the order of “UMB Bank, N.A., as escrow agent for FS Energy and Power Fund II.”
