The term “Escrowed Documents” shall mean this Agreement, the HRSI Consents, the Buyer Consents, the Note, the Consulting Agreement, the Noncompetition Agreements, the ▇▇▇▇ of Sale, the Security and Pledge Agreement, the IP Assignments, the Company Legal Opinion, the Closing Certificates, the UCC-1 Financing Statement-Colorado, the UCC-1 Financing Statement-Utah, the USPTO Security Interest Forms, the original membership interests certificates, if certificated, with a separate membership interest transfer power and all other agreements and obligations contemplated hereby.
