Common use of ERISA Affiliate Clause in Contracts

ERISA Affiliate. Any Person which is treated as a single employer with the Borrower under Section 414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section 4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which that is subject to ERISA and is treated as a single employer with the Borrower or its Subsidiaries under Section §414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section §4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the Borrower under Section 414 of the Code. ERISA Reportable EventREPORTABLE EVENT. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section 4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the Borrower or the Guarantor under Section 414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section 4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the Borrower Borrower, the Guarantors or their respective Subsidiaries under Section §414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section §4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which that is treated as a single employer together with the Borrower Company under Section §414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section §4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the Borrower under Section 414 ss.414 of the Code. ERISA Reportable EventREPORTABLE EVENT. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section 4043 ss.4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

Any Person which is treated as a single employer employer, member of a controlled group, or under common control with the Borrower or any of its Subsidiaries under Section §412, §414 or §430 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section §4043 of ERISA and the regulations promulgated thereunder with respect to a Guaranteed Pension Plan as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the Borrower Guarantor or its Subsidiaries under Section §414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section §4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

Excess Refinanced Principal Amount. See definition of Permitted Refinancing Indebtedness.

Erroneous Payment. Has the meaning assigned to it in §14.18(a).

Shares of common stock of the Parent which have been placed in escrow in connection with the acquisition of a subsidiary and held against potential indemnification claims made by the Parent against the former shareholders of such subsidiary.

A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section 4043 sec.4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the --------------- US Borrower under Section 414 (S)414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed ---------------------- Pension Plan within the meaning of Section 4043 (S)4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived.

ERISA Affiliate. Any Person which is treated as a single employer with the any Borrower under Section 414 ss.414 of the Code. ERISA Reportable Event. A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section 4043 ss.4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waived. Escrowed Shares. Shares of common stock of the Parent which have been placed in escrow in connection with the acquisition of a subsidiary and held against potential indemnification claims made by the Parent against the former shareholders of such subsidiary.

A reportable event with respect to a Guaranteed Pension Plan within the meaning of Section §4043 of ERISA and the regulations promulgated thereunder as to which the requirement of notice has not been waivedthereunder.
