Common use of Equity Financing Documents Clause in Contracts

Equity Financing Documents. The Administrative Agent shall have received a certified copy of the Equity Financing Documents, which shall be in form and substance reasonably satisfactory to the Administrative Agent and the Co-Lead Arrangers. The Administrative Agent and the Co-Lead Arrangers shall have received evidence reasonably satisfactory to it that the Equity Financing has been consummated in accordance with the terms of the Equity Financing Documents (without any amendment thereto or waiver thereunder that is adverse to the Lenders unless approved in writing by the Administrative Agent) and in compliance with applicable law and regulatory approvals.
