Common use of Equitable Considerations Clause in Contracts

Equitable Considerations. Other equitable considerations exist under which the Director determines, in his sole and reasonable discretion, that to adopt the more favorable, common compensation terms would not be appropriate. The Architect/Engineer must advise the Director when Architect/Engineer notifies the Director of such more favorable, common compensation terms of any facts it contends exists to negate the requirement that this Agreement be amended to adopt such terms. Any determination by the Director on this issue will be final.
