Equal Value. An independent accounting firm has concluded that the aggregate value of licenses granted to Delphi by GM and GM Affiliates is approximately equal to the aggregate value of licenses granted to GM by Delphi and Delphi Affiliates. Accordingly, no payment by either party to the other is necessary to make such licenses of equal value, and all licenses granted in this agreement are fully paid.
Equal Value. ELA, KATZ, XXBSIDIARY and UICI agree that the fair market value of the aggregate UICI Shares will be approximately equal to the fair market value of the aggregate ELA Shares.
