EPC information. 19.6.1 The Tenant shall allow the Landlord and all others authorised by the Landlord to have access to all documentation, data and information in the Tenant’s possession or under its control that is reasonably required in order for the Landlord to: (a) prepare an EPC in respect of the Premises and/or the Building; and (b) comply with any duty imposed upon the Landlord under the EPC Regulations, and the Tenant shall co-operate with the Landlord and any person so authorised so far as is reasonably necessary to enable them to carry out such functions. 19.6.2 The Tenant shall provide free of charge to the Landlord a copy of any EPC that the Tenant obtains in respect of the Premises. 19.6.3 The Tenant shall on completion of any alterations or additions to the Premises and if required by the EPC Regulations obtain a valid EPC for the Premises and deliver a copy to the Landlord together with details of the reference number of such EPC (if not apparent from the copy). 19.6.4 If any alterations or alterations to the Premises made by the Tenant invalidate a valid EPC for the Premises or the Building (or part of them) held by the Landlord or materially adversely affect any such EPC the Tenant will (at the Landlord’s election) either: (a) obtain a new EPC for the Premises and/or the Building (as the case may be) and provide the Landlord with a copy of the EPC and all ancillary records; or (b) indemnify the Landlord in respect of the reasonably incurred cost of obtaining a new EPC for the Premises and/or the Building (as the case may be).
EPC information. Employee acknowledges that the business of EPC, Enron and their affiliates is highly competitive and that EPC's project development strategies, books, records and documents, EPC's technical information concerning its products, equipment, services and processes, procurement procedures and pricing techniques, the names of and other information (such as credit and financial data) concerning EPC' customers and business affiliates, all comprise confidential business information and trade secrets of EPC which are valuable, special and unique assets of EPC, which EPC uses in its business to obtain a competitive advantage over EPC'S competitors which do not know or use this information. Employee further acknowledges that protection of EPC'S confidential business information and trade secrets against unauthorized disclosure and use, is of critical importance to EPC in maintaining its competitive position. Accordingly, Employee hereby agrees that he or she will not, at any time during or after his or her employment by EPC, make any unauthorized disclosure of any confidential business information or trade secrets of EPC, or make any use thereof for the benefit of, and on behalf of, EPC. For the purposes of this Section 4.1, the term "EPC" shall also include EPC, Enron and their affiliates, and Enron shall be a third party beneficiary of the provisions of this Section 4.1.
EPC information. 4.25.1 To allow the Landlord and all others authorised by the Landlord to have access to all documentation, data and information in the Tenant’s possession or under its control that is reasonably required in order for the Landlord to: (i) prepare an EPC in respect of the Property; and (ii) comply with any duty imposed upon the Landlord under any statute or legislation relating to the energy performance of buildings; and the Tenant shall co-operate with the Landlord and any person so authorised so far as is reasonably necessary to enable them to carry out such functions; 4.25.2 The Tenant shall provide free of charge to the Landlord a copy of any EPC that the Tenant obtains in respect of the Property; 4.25.3 The Tenant shall comply promptly with any statutory duty to produce any new EPC arising as a result of any works carried out by the Tenant, any such EPC to be produced by such supplier as the Landlord may (acting reasonably) nominate, and shall supply to the Landlord, promptly following receipt by the Tenant of the necessary details, of a copy of each such new EPC when entered on the EPC register
