Entrance Fee Liabilities. The Parties acknowledge and agree that there shall be no proration with respect to Entrance Fees. At Closing, Buyer shall receive a credit for all Current Entrance Fee Liabilities. At Closing, each Seller shall assign to Buyer all of its rights to receive payments of Entrance Fees, and Buyer shall assume all Entrance Fee Liabilities.
