Entire Framework Clause Samples
The "Entire Framework" clause establishes that the agreement, along with its referenced documents, constitutes the complete and exclusive understanding between the parties regarding its subject matter. In practice, this means that any prior discussions, negotiations, or informal understandings not included in the agreement are not legally binding. This clause ensures that only the written terms within the framework and its incorporated documents govern the relationship, thereby preventing disputes over alleged side agreements or misunderstandings.
Entire Framework. This Framework and any applicable Service Agreements constitute the entire agreement between the Municipalities relating to the subject matter contained within them and supersedes all prior understandings, negotiations and discussions, whether oral or written, of the Municipalities in relation to that subject matter. There are no warranties, representations or other agreements among the Municipalities in connection with the subject matter of the Framework except as specifically set forth within them.
Entire Framework. With respect to its subject matter, this Framework contains the entire understanding of the Team Members and supersedes all previous, understandings and agreements, written or oral, between and among the Team Members respecting the subject matter of this Framework.
