Entire Agreement; Certain Terms. This Agreement, together with the form of the Release of Claims attached hereto as Exhibit A and any documents related to option grants, constitutes and contains the entire agreement of the parties with respect to the matters addressed herein and supersedes any and all prior negotiations, correspondence, understandings and agreements between the parties respecting the subject matter hereof, including but not limited to all other agreements and arrangements relating to the payment of any compensation to Employee with respect to any services performed, or to be performed, on behalf of the Company or any Affiliate. HYAC is an intended third party beneficiary of this Agreement. When used in this Agreement, the terms “hereof,” “herein” and “hereunder” refer to this Agreement in their entirety, including any exhibits or schedules attached to this Agreement and not to any particular provisions of this Agreement, unless otherwise indicated.
