ENTIRE AGREEMENT BETWEEN PARTIES. This Agreement sets forth and constitutes the entire agreement and understanding between the Parties concerning the subject matter of this Agreement and supersedes any prior agreements, representations, statements, negotiations, understandings, promises, proposals or undertakings, oral or written, with respect to the subject matter hereof. This Agreement shall not be construed to create any obligation by either Party to any non-party to this Agreement, including any Customer and/or Registrant.

ENTIRE AGREEMENT BETWEEN PARTIES. This Agreement sets forth and constitutes the entire agreement and understanding supersedes any other agreements, either oral or in writing, between the Parties concerning the subject matter of this Agreement and supersedes any prior agreements, representations, statements, negotiations, understandings, promises, proposals or undertakings, oral or written, parties hereto with respect to the subject matter hereof, and contains the entire understanding of the parties with respect thereto. This Agreement shall not be construed to create any obligation by either Party Modifications to any non-party to terms or provisions set forth or implied in this Agreement, including any Customer and/or RegistrantAgreement will be effective only upon written approval signed by authorized representatives of both parties.
