Engineering Resources. Each party will designate a project manager in the SOW who shall act as that party’s liaison and administrator of the project provided pursuant to the SOW. Diablo hereby agrees to submit to the Netlist project manager the names and other pertinent information requested by Netlist prior to utilization of any personnel of Diablo. Netlist reserves the right to interview Diablo’s personnel prior to such utilization. Netlist reserves the right to request the reasonable replacement of any of Diablo’s personnel assigned to this project, and Diablo shall as soon as possible consider such request and may remove same and secure replacement(s) reasonably acceptable to Netlist.
Engineering Resources. Each party shall provide engineering resources on --------------------- joint product development projects relating to ClearCommerce Merchant Engine and ClearCommerce Hosting Engine or other mutually agreeable projects as the parties deem appropriate.

Engineering Resources. Manufacturer shall provide a dedicated Seller office, which office shall host Seller's engineering and support team. This team shall include Seller's acoustic engineers, mechanical engineers, project managers and other support personal. This dedicated team will work in close partnership with Seller's other engineers and support staff located in Shenzhen and in the United States, as well as with all other Seller personnel.
Engineering Resources. Analog and digital electronics design, software development/programming, and mechanical design engineering, including the majority of the required engineering design tools required for the Project. It is contemplated that LE shall contribute approximately one (1) man-year of technical support to the Project.
