Engineering Change Notification. (ECN) APPROVAL PROCESS All ECN'S that affect the fit, form, and/or function of the power supply will require Intel's approval before implementation. In certain instances Intel may require Novatel Wireless to submit samples for approval. Novatel Wireless will notify Intel at least 60 days prior to proposed implementation date, with exceptions made for safety assurance and lines down avoidance.

Engineering Change Notification. In the event that WISTRON makes any modifications or enhancements to the Products or Documentation during the Term, WISTRON shall immediately notify XPLORE of such modifications or enhancements in accordance with the change control procedures set forth in Section 2.1 of Appendix E of Exhibit G attached hereto. Notwithstanding any other provision contained herein, in the event that such modification or enhancement alters the form, fit or function of the Products, XPLORE shall have thirty (30) days from receipt of such notification to approve or reject such modification or enhancement. In the event that XPLORE, in its sole discretion, rejects such modification or enhancement, WISTRON shall not implement such modification or enhancement and shall continue to supply the unaltered Products to XPLORE during the Term in accordance with the terms and conditions of this Agreement.
Engineering Change Notification. (ECN): Supplier must provide prompt notice to Lam xx Significant Changes to processes and/or design of Product. This notification shall be sent either by Supplier's e-mail, service bulletin, facsimile, or mail. The ECN will provide complete written details along with drawings so that Lam xxxl have complete understanding of proposed change(s). Upon receipt of the proposed ECN, Lam xxxl have ten (10) working days to review and respond either approving or disapproving the proposed change(s). If no response is received within ten (10) working days, Supplier will notify Lam xx the consequences and Supplier's planned actions. Supplier agrees not to ship to Lam xxx proposed changes without obtaining Lam'x xxxtten approval in advance. Supplier understands and agrees that an oral change authorization from any Lam xxxloyee is not sufficient and Lam has no liability for changed Product, absent Lam'x xxxtten approval for the changes. If you fail to obtain Lam'x xxxor approval for Significant Changes and continue to ship Product or perform Services, Lam xxx, at its option and in addition to all other remedies do one of the following: 1) return such Product or suspend such Services without further liability to Lam; 0) accept such Product or Services but with a deduction in the price Lam xxxt pay you, if any, as mutually agreed;or 3) inspect and approve such changes with appropriate notice, or 4) terminate this Agreement.

  • Engineering Changes Customer may request that Flextronics incorporate engineering changes into the Product by providing Flextronics with a description of the proposed engineering change sufficient to permit Flextronics to evaluate its feasibility and cost. Flextronics will proceed with engineering changes when the parties have agreed upon the changes to the Specifications, delivery schedule and Product pricing and the Customer has issued a purchase order for the implementation costs.

  • Term SOFR Conforming Changes In connection with the use or administration of Term SOFR, the Administrative Agent will have the right to make Conforming Changes from time to time and, notwithstanding anything to the contrary herein or in any other Loan Document, any amendments implementing such Conforming Changes will become effective without any further action or consent of any other party to this Agreement or any other Loan Document.   • PRODUCT AND PRICING CHANGE REQUESTS Supplier may request Equipment, Product, or Service changes, additions, or deletions at any time. All requests must be made in writing by submitting a signed Sourcewell Price and Product Change Request Form to the assigned Sourcewell Supplier Development Administrator. This approved form is available from the assigned Sourcewell Supplier Development Administrator. At a minimum, the request must: • Identify the applicable Sourcewell contract number; • Clearly specify the requested change; • Provide sufficient detail to justify the requested change; • Individually list all Equipment, Products, or Services affected by the requested change, along with the requested change (e.g., addition, deletion, price change); and • Include a complete restatement of pricing documentation in Microsoft Excel with the effective date of the modified pricing, or product addition or deletion. The new pricing restatement must include all Equipment, Products, and Services offered, even for those items where pricing remains unchanged. A fully executed Sourcewell Price and Product Change Request Form will become an amendment to this Contract and will be incorporated by reference.

  • Accounting Changes Make or permit, or permit any of its Subsidiaries to make or permit, any change in accounting policies or reporting practices, except as required or permitted by generally accepted accounting principles.

  • Drug-Free Workplace Certification As required by Executive Order No. 90-5 dated April 12, 1990, issued by the Governor of Indiana, the Contractor hereby covenants and agrees to make a good faith effort to provide and maintain a drug-free workplace. The Contractor will give written notice to the State within ten (10) days after receiving actual notice that the Contractor, or an employee of the Contractor in the State of Indiana, has been convicted of a criminal drug violation occurring in the workplace. False certification or violation of this certification may result in sanctions including, but not limited to, suspension of contract payments, termination of this Contract and/or debarment of contracting opportunities with the State for up to three (3) years.
