ENGINEERING CHANGE. Orders Applied may change its drawings, design, and Specifications at any time and generate a proposed ECO therefor in accordance with Article 24 of Exhibit 1. An Applied supplier engineer will review with Supplier all proposed ECO's that affect the form, fit, or function of Items. Applied will provide, in writing, approved ECO's (Attachment 12), indicating the effective dates of all changes. Unless otherwise notified, Applied's receiving inspection will inspect to the latest revision in effect per the Authorized Demand Signal. Supplier will be provided twelve (12) time periods during the calendar year when Supplier will be allowed to submit requests for engineering changes to an Item. Such changes may include without limitation changes in Component parts, testing or manufacturing procedures or cosmetic changes. Notwithstanding the foregoing, Supplier may request an engineering change related to a safety, quality or delivery issue at any time. Supplier shall request any such engineering changes via a Supplier Problem Sheet (Attachment 13) and shall submit such request to Applied's designated buyer and designated Supplier Problem Sheet administrator. Changes shall not be implemented by Supplier (and Supplier shall not ship any Items with any such changes) until written permission to proceed is given by Applied's authorized purchasing representative and the Agreement is modified accordingly. Applied will consider Supplier's request to modify the terms of this Agreement relating to a requested change order if such request is made before the implementation by Supplier of the requested engineering changes. 4.2 Tooling Unless otherwise agreed to by the parties in writing, dies, tools, patterns and drawings used in the manufacture of Items shall be furnished by and at the expense of Supplier. Any tooling which is built or procured by Supplier and which is unique to the Modules and/or relevant to the manufacture, testing, maintenance, repair or troubleshooting of Modules will, upon Applied's request, be sold to Applied by Supplier at the net book value of such tooling at the time of request. If applicable upon Applied's request, Supplier agrees to provide a separate line item quote for tooling. Applied will, upon agreement to a quote for tooling, pay for the tooling cost separately, and title to the tooling and cost for the tooling will not be amortized into the Contract Prices of the purchased Items. ENGINEERING CHANGE a) MSL is required to inform IBM of any necessary or required EC which would be applicable to the Products in general. In no event shall MSL make any changes or incorporate any modification to Products without the prior written agreement of IBM.
ENGINEERING CHANGE. In the event that 3Com finds or becomes aware of a situation which in its opinion necessitates or would benefit from an engineering change in any of the Products, 3Com shall suggest such proposed engineering change to Seller and Seller and 3Com agree to work with each other in good faith to determine whether such change will be made and if so will work with each other on the implementation of such change. Seller agrees to work with 3Com in good faith to upgrade or alter the Product to changing market requirements.

ENGINEERING CHANGE. In the event that BIZ determines that the Embassy-Enabled Product requires further technical modifications, BIZ shall provide Wave with written notice detailing the proposed modifications and Wave shall in good faith determine the feasibility of implementing such proposed modifications. If Wave determines that it is feasible to implement the modifications, Wave and BIZ agrees to work together in good faith to implement such modifications to the Embassy-Enabled Product.
ENGINEERING CHANGE. 10.1 At any time, Supplier may make any improvements to the Products as Supplier may determine in its discretion. Supplier will communicate such improvements to Cummins at least thirty (30) days prior to implementation with respect to any future Products to be delivered to Cummins.

ENGINEERING CHANGE. The term "Engineering Change" shall mean any design, material, or manufacturing process change to the [* * *], whether originating with 3M or Polycom. Mutual agreement of the Parties shall be required for Engineering Changes that would affect the form, fit and/or material function of any [* * *] or that would have the effect of rendering finished goods inventory or field service inventory obsolete. Polycom agrees to give 3M prior written notice of any Engineering Change that would affect the safety, performance, serviceability, appearance, dimensions, packaging or field support of any [* * *]. Either Party may request an Engineering Change. Polycom, upon receiving such request from 3M or proposing any such change, shall evaluate it and provide 3M with estimates for changes in costs, performance, quality and schedule of the [* * *] resulting from any such proposed Engineering Change.
ENGINEERING CHANGE. Engineering Change happens when partial circuit modification is needed for any reasons. Part or all of the above flow may be run through depending on the scale of modification. Also depending on the negotiation with Foundry, some wafers may need to be held on contract to enhance the modification schedule at the initial stage of the product. All changes must go through GDA's Change Control Board and the cost and schedule impacts if necessary will be negotiated by Parties in good faith.
ENGINEERING CHANGE. The term "Engineering Change(s)" (hereinafter called "EC" or "EC's") shall mean those mechanical, software, or electrical design and/or specification and requirement changes which, if made to the Product to be delivered hereunder, would affect the schedule, performance, reliability, quality, availability, serviceability, appearance, dimensions, tolerance, safety or purchase price of such Product or which would require additional approval testing. Plexus may determine that Engineering Changes will affect its ability to maintain the delivery schedule of Product , due to the lead time of newly specified parts and/or the impact of substantial rework or modification. Under these circumstances, Plexus reserves the right to define a new schedule for delivery and treat this as a Schedule Change Condition, with the Neoprobe liability as defined under Section 3.06 or Section 3.07. Upon receipt of an EC, Plexus shall review Neoprobe's proposed EC and shall give to Neoprobe a written evaluation of the EC, stating Plexus' cost to implement the EC (including the cost to modify any tooling), the excess quantity of Components and/or Long Lead Time Components, NCNR Components and/or Special Components Plexus has inventoried and/or has on order with its Components and/or Long Lead Time Components, NCNR Components and/or Special Components suppliers that are unusable for any other assembly requirement and excess due to the EC, and associated costs and expenses such Components and/or Long Lead Time Components, NCNR Components and/or Special Components that Neoprobe shall be liable for and the cost savings, if any, resulting from the EC, and the expected effect on the schedule, availability and/or purchase price of such assemblies, or which may require additional approval tests by Neoprobe.
