Common use of Enforcement and preservation costs Clause in Contracts

Enforcement and preservation costs. The Parent shall, within three Business Days of demand, pay (or procure to be paid) to each Secured Party the amount of all costs and expenses (including legal fees) incurred by it in connection with the enforcement of or the preservation of any rights under any Finance Document and the Transaction Security and any proceedings instituted by or against the Security Agent as a consequence of taking or holding the Transaction Security or enforcing these rights.

The Parent shall, within three Business Days of demand, pay (or procure to be paid) to the Arrangers and each other Secured Party on a full indemnity basis the amount of all costs and expenses (including legal feeslegal, valuation, accountancy and consulting fees and commission and out of pocket expenses) and any VAT thereon incurred by it in connection with the enforcement of or the preservation of or the release of any rights under any Finance Document and or any of the Transaction Security documents referred to in such documents in any jurisdiction and any proceedings instituted by or against the Security Agent as a consequence of taking or holding the Transaction Security or enforcing these rights.

The Parent shall, within three Business Days of demand, pay (or procure to be paidpayment) to each Secured Party and the Arranger the amount of all costs and expenses (including legal fees) incurred by it that Secured Party or Arranger in connection with the enforcement of or the preservation of any rights rights, powers and remedies under any Finance Document and the Transaction Security and any proceedings instituted by or against the Security Agent Trustee as a consequence of taking or holding the Transaction Security or enforcing these rights, powers and remedies.
