Common use of Enforceability of Documents Clause in Contracts

Enforceability of Documents. Upon execution by Borrower, this Agreement, the other Loan Documents executed by Borrower, the Lease and the License Agreement shall constitute the legal, valid and binding obligations of Borrower, enforceable against Borrower in accordance with their respective terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, liquidation, reorganization and other laws affecting the rights of creditors generally and general principles of equity.

Enforceability of Documents. Upon execution by BorrowerDebtor, this Agreement, the other Loan Documents executed by BorrowerDocuments, the Lease and the License Agreement shall constitute the legal, valid and binding obligations of BorrowerDebtor, enforceable against Borrower Debtor in accordance with their respective terms, except as such enforceability may be limited by subject to general equitable principles and to applicable bankruptcy, insolvency, liquidationreorganization, reorganization moratorium and other similar laws from time to time in effect affecting the enforcement of creditors' rights of creditors generally and general principles of equitygenerally.
