The Energization Plan clause defines the requirements and procedures for safely and systematically energizing electrical systems or equipment within a project. Energization Plan. Interconnection Customer has selected ERIS under this Agreement. The Parties acknowledge that for ERIS to be provided, the Network Upgrades and Interconnection Facilities described in this Appendix A must be constructed, tested, energized and placed into operation. The process and timelines for the implementation of energization, testing and operation of the Network Upgrades and Interconnection Facilities is established in the Facilities Use Agreement and accompanying transmittal letter filed by Western Spirit Transmission on April 21, 2020 and accepted on June 19, 2020, in Docket No. ER20-1616 (“Western Spirit Energization Plan”). The Western Spirit Energization Plan anticipates testing and energization of the Western Spirit Substation to ▇▇▇▇▇▇ Corners Substation segment of the Western Spirit Project (“Northern Segment”) and subsequently the Western Spirit Substation to Pajarito Substation segment of the Western Spirit Project (“Western Segment”) before such facilities are transferred to Transmission Provider pursuant to the BTA (such period, the “Energization Period”). Interconnection Customer will be able to flow power over each of the Northern Segment and Western Segment during the Energization Period. Pursuant to the Western Spirit Energization Plan, during the Energization Period, the Point of Interconnection will be at the ▇▇▇▇▇▇ Corners Substation and Transmission Provider will not own any transmission facilities between the Point of Interconnection and the Large Generating Facility. After the Energization Period, the Point of Interconnection will be located at the Western Spirit Substation 345 kV bus and, as explained below in Section D.2 and Appendix B, Transmission Provider will own the last section of the 345 kV transmission lines entering the Western Spirit Substation and the Point of Change of Ownership will be at the insulators on the last structure located outside the perimeter fence of the Western Spirit Substation.   • Implementation Plan The Authority shall cause to be prepared an Implementation Plan meeting the requirements of Public Utilities Code Section 366.2 and any applicable Public Utilities Commission regulations as soon after the Effective Date as reasonably practicable. The Implementation Plan shall not be filed with the Public Utilities Commission until it is approved by the Board in the manner provided by Section 4.9.

  • Transition Plan In the event of termination by the LHIN pursuant to this section, the LHIN and the HSP will develop a Transition Plan. The HSP agrees that it will take all actions, and provide all information, required by the LHIN to facilitate the transition of the HSP’s clients.

  • Business Continuity Plan The Warrant Agent shall maintain plans for business continuity, disaster recovery, and backup capabilities and facilities designed to ensure the Warrant Agent’s continued performance of its obligations under this Agreement, including, without limitation, loss of production, loss of systems, loss of equipment, failure of carriers and the failure of the Warrant Agent’s or its supplier’s equipment, computer systems or business systems (“Business Continuity Plan”). Such Business Continuity Plan shall include, but shall not be limited to, testing, accountability and corrective actions designed to be promptly implemented, if necessary. In addition, in the event that the Warrant Agent has knowledge of an incident affecting the integrity or availability of such Business Continuity Plan, then the Warrant Agent shall, as promptly as practicable, but no later than twenty-four (24) hours (or sooner to the extent required by applicable law or regulation) after the Warrant Agent becomes aware of such incident, notify the Company in writing of such incident and provide the Company with updates, as deemed appropriate by the Warrant Agent under the circumstances, with respect to the status of all related remediation efforts in connection with such incident. The Warrant Agent represents that, as of the date of this Agreement, such Business Continuity Plan is active and functioning normally in all material respects.

  • Compensation Plan 1. Subject to any applicable regulation and the Company's/its contractor approval, the applicant shall choose a Compensation Plan on the Affiliate Participation Form. An Affiliate may not change the elected Compensation Plan. 2. The Company/its contractor may change an Affiliate's Compensation Plan, at any time and at its sole and absolute discretion, by sending such Affiliate a notice to such effect by e-mail. In the event Affiliate does not agree to such change, it shall notify the Company by return e-mail within three (3) days of receiving such notice from the Company, and the Agreement shall terminate immediately. In the event Affiliate does not notify the Company within three (3) days from the notice, it shall be deemed as an approval by the Affiliate to such change in the Compensation Plan. It is hereby clarified that Affiliate will continue to receive payment with respect to Traders identified by a Tracker ID prior to the date of any such change in the Compensation Plan, in accordance with the applicable Compensation Plan at the date such Traders registered to the Site(s).
