Employee's Obligation to Avoid Conflicts of Interest. (a) In keeping with Employee's fiduciary duties to the Company, Employee agrees that he shall not knowingly become involved in circumstances constituting a conflict of interest with such duties, or upon discovery thereof, allow such a conflict to continue. Moreover, Employee agrees that he shall disclose to the Secretary of the Company any facts which might involve a conflict of interest that has not been approved by the Company's Compensation Committee. The Board hereby acknowledges and agrees that the activities of Employee listed on Schedule A hereto do not, and the continuation of such activities will not, constitute a conflict of interest for purposes of this Section 10.
