ELEMENTARY RECESS. All elementary buildings will have one morning and one afternoon recess unless the teachers and principal in the building mutually agree not to have either or both recesses.
ELEMENTARY RECESS. There will be a fifteen (15) minute recess period daily in the elementary schools, as defined by staff. Each elementary school teacher will be off duty for such recess period every other day.
ELEMENTARY RECESS. With the advent of the 30-minute lunch period, elementary teachers will be permitted to schedule no more than one 20-minute outdoor recess period per day, with the following conditions:  Teachers must accompany and supervise their own class.  The recess period must be conducted in line with an educational goal established by the teacher and/or school.  The principal must approve both the scheduling of the recess and the educational goal(s).
ELEMENTARY RECESS. Elementary employees will be provided individual time during a minimum of one fifteen (15) minute student recess per day, beyond any recess time attached to the lunch period, Monday through Friday. On school days with delayed starts or early releases (excluding Fridays), no recesses beyond lunch recess are required. On late start and two and a half hour (2.5) early release days, employees will be provided fifteen (15) minutes of individual time during a student recess (not attached to lunch) if their specialist planning time is missed due to the shortened schedule.
ELEMENTARY RECESS. An a.m. (15 minutes) K-5 recess is optional and must be supervised by the teacher. There will be optional recess in the p.m. (K-5) supervised by all participating certified teachers (on a rotating basis). This excludes social workers, school psychologists, speech therapists, teacher consultants, interventionists and any other grant-funded employee whereby state and/or federal funding prohibits. Those working in more than one building will determine with their supervisor which building or buildings they will be assigned recess duty.
ELEMENTARY RECESS. There will be a fifteen (15) minute non-lunch recess/break period daily in the elementary schools, as defined by staff. The non-lunch recess/break may not shorten the instructional block as noted by the building principal. Each elementary school teacher will be off duty for such recess period every other day. The parties agree that during the 2018-2019 school year they will establish a JLMC to assess the ability to transition the lunch recess/break time into a consistent common planning period for elementary teachers. The JLMC will complete this assessment and make any recommendations no later than April 15, 2019. If the JLMC is successful in creating such a plan, the Committee and the UEP will promptly review the plan and negotiate if necessary, so that implementation can occur in the 2019-2020 school year. Any elementary school which currently utilizes elementary lunch recess for common planning time may continue to do so.

  • Value Engineering The Supplier may prepare, at its own cost, a value engineering proposal at any time during the performance of the contract. The value engineering proposal shall, at a minimum, include the following; a) the proposed change(s), and a description of the difference to the existing contract requirements; b) a full cost/benefit analysis of the proposed change(s) including a description and estimate of costs (including life cycle costs) the Procuring Entity may incur in implementing the value engineering proposal; and c) a description of any effect(s) of the change on performance/functionality.

  • Cash in Lieu of Fractional Rights The Company shall not be required to issue fractions of Rights or to distribute Right Certificates which evidence fractional Rights (except prior to the Distribution Date in accordance with Section 11.15). In lieu of such fractional Rights, there shall be paid to the registered holders of the Right Certificates with regard to which such fractional Rights would otherwise be issuable an amount in cash equal to the same fraction of the current market value of a whole Right. For the purposes of this Section 14.1, the current market value of a whole Right shall be the closing price of the Rights for the Trading Day immediately prior to the date on which such fractional Rights would have been otherwise issuable. The closing price for any day shall be the last sale price, regular way, or, in case no such sale takes place on such day, the average of the closing bid and asked prices, regular way, in either case as reported in the principal consolidated transaction reporting system with respect to securities listed or admitted to trading on the New York Stock Exchange or, if the Rights are not listed or admitted to trading on the New York Stock Exchange, as reported in the principal consolidated transaction reporting system with respect to securities listed on the principal national securities exchange on which the Rights are listed or admitted to trading or, if the Rights are not listed or admitted to trading on any national securities exchange, the last quoted price or, if not so quoted, the average of the high bid and low asked prices in the over-the-counter market, as reported by Nasdaq or such other system then in use or, if on any such date the Rights are not quoted by any such organization, the average of the closing bid and asked prices as furnished by a professional market maker making a market in the Rights selected by the Board of Directors of the Company. If on any such date no such market maker is making a market in the Rights, the current market value of the Rights on such date shall be the fair value of the Rights as determined in good faith by the Board of Directors of the Company, or, if at the time of such determination there is an Acquiring Person, by a nationally recognized investment banking firm selected by the Board of Directors of the Company, which shall have the duty to make such determination in a reasonable and objective manner, which determination shall be described in a statement filed with the Rights Agent and shall be conclusive for all purposes.

  • Stock Compensation The Executive shall be eligible to receive stock-based compensation, whether stock options, stock appreciation rights, restricted stock grants or otherwise, under the Parent’s Amended and Restated 2004 Long Term Incentive Plan or other stock-based compensation plans as Parent may establish from time to time (collectively, the “Plans”). The Executive shall be considered for such grants no less often than annually as part of the Board’s annual compensation review, but any such grants shall be at the sole discretion of the Board.

  • Contract Term Adjustment “Contract Term Adjustment” means adjustment only as provided for in the three circumstances described in this Subsection. Under these circumstances, the contract term shall be adjusted in writing to include additional calendar days in one or more Normal Operating Seasons equal to the actual time lost, except as limited by paragraph (b) in this Subsection.
