Common use of Electronic Voting Clause in Contracts

Electronic Voting. If the Corporation chooses to make available a telephonic, electronic or other communications facility, in accordance with the Act, that permits shareholders to vote by means of such facility then, notwithstanding any other provision of the By-laws, any such shareholder entitled to vote at that meeting may vote, in accordance with the Act, by means of such facility.

Electronic Voting. If the Corporation chooses to make available a telephonic, electronic or other communications communication facility, in accordance with the ActAct and the Regulations, that permits shareholders to vote by means of such facility then, notwithstanding any other provision of the Bythis by-lawslaw, any such shareholder entitled to vote at that meeting may votebe held, in accordance with the ActAct and the Regulations, entirely by means of such facility.
