You represent, warrant and agree that any activity of the kind described in (i), (ii) and (iii) above that you undertake in connection with any Offering will be in accordance with procedures which the Commission has approved in writing or to which the Commission has confirmed in writing that it has no objection, and will in any event be your own responsibility and at your own expense and risk. You will upon request deliver to us a copy of any such approval or confirmation from the Commission.

It provides automatic, secure electronic delivery of digital inventory such as Microsoft software, service packs and bug fixes and uses web-based administration screens for access to online reports. ATLAS is comprised of selectable modules, designed as three layers: delivery of software over the Internet, deployment of software to the desktop over the Intranet, and reporting of software usage throughout the enterprise. An enterprise is able to choose the layers they need to employ.

Notwithstanding anything to the contrary herein, the certificates, statements, reports and other information to be furnished pursuant to this Section 12.1 may be furnished in electronic form complying with technological requirements reasonably acceptable to the recipient thereof.
