Election; Term of Office; Resignation; Removal; Vacancies; Special Elections. Except as otherwise provided in this Section 2.2, the managers shall be elected by the member. Each manager (whenever elected) shall hold office until his successor is elected and qualified or until his earlier resignation or removal, except as provided in the certificate of formation. Any manager may resign at any time upon written notice to the Board C-1 26 of Managers or to the President of the Company. Such resignation shall take effect at the time specified therein, and unless otherwise specified therein no acceptance of such resignation shall be necessary to make it effective. Any manager may be removed with or without cause at any time upon the affirmative vote of the holders of a majority of the capital interest of the Company entitled to vote for the election of such manager, given at a special meeting of such members called for the purpose. If any vacancies shall occur in the Board of Managers, by reason of death, resignation, removal or otherwise, or if the authorized number of managers shall be increased, the managers then in office shall continue to act, and such vacancies may be filled by a majority of the managers then in office.

  • Number, Election, Term, Removal and Resignation (a) In accordance with Section 3801 of the DSTA, each Trustee shall become a Trustee and be bound by this Declaration of Trust and the By-Laws when such Person signs this Declaration of Trust as a trustee and/or is duly elected or appointed, qualified and serving on the Board of Trustees in accordance with the provisions hereof and the By-Laws, so long as such signatory or other Person continues in office in accordance with the terms hereof.

In the event such vacancy arose due to an increase in the number of Trustees, any Trustee so elected to fill such vacancy at an annual meeting shall hold office for a term which coincides with that of the Class of Trustee to which such office has been apportioned as heretofore provided, and until his successor shall be elected and shall qualify.
