EFFECTS OF THE CORPORATE MERGER. The separate existence of NorthStar shall cease, and NorthStar shall be merged with and into Frontier which, as the Continuing Corporation, shall thereupon and thereafter possess all of the assets, rights, privileges, appointments, powers, licenses, permits and franchises of the two merged corporations, whether of a public or a private nature, and shall be subject to all of the liabilities, restrictions, disabilities and duties of both Frontier and NorthStar.

EFFECTS OF THE CORPORATE MERGER. At and after the Corporate Merger Effective Time, the effect of the Corporate Merger shall be as provided by applicable law. Without limiting the generality of the foregoing, and subject thereto, at the Corporate Merger Effective Time all property, rights, privileges, powers and franchises of Summit and Ewinx xxxll vest in the Surviving Corporation, and all debts, liabilities and duties of Summit and Ewinx xxxll become the debts, liabilities, and duties of the Surviving Corporation.
