Effective Notice. Notices to Members shall be in writing and may be delivered personally, by certified or registered mail (postage prepaid, return receipt requested), by courier, or by telecopy (with prompt telephonic confirmation by the transmitting party of appropriate receipt by the addressee). Notice shall be deemed to be given when actually delivered to the address of a Member appearing on Schedule 1 hereto or otherwise on the books and records of the Company.
