Common use of Effective Date of the Merger Clause in Contracts

Effective Date of the Merger. On the Closing Date, a certificate of merger (the "Articles of Merger") shall be executed by the Company and Acquisition and shall be filed with the Secretary of State of the States of California and Delaware. The Merger shall become effective at such time as the Articles of Merger are filed with the Secretary of State of the States of California and Delaware, such time being hereinafter called the "Effective Time."

On the Closing DateDate (as defined below), a certificate of merger (the "Articles of Merger") shall be executed by the Company and Acquisition the Merger Subsidiary and shall be filed with the Secretary of State of the States of California New York and Delaware. The Merger shall become effective at such time as the Articles of Merger are filed with the Secretary of State of the States of California New York and Delaware, such time being hereinafter called the "Effective Time."
