Effective Date and Ratification Clause Samples
The 'Effective Date and Ratification' clause establishes when an agreement becomes legally binding and confirms that all parties have formally approved its terms. Typically, this clause specifies a particular date—often the date of the last signature—on which the contract takes effect, and may require explicit confirmation that each party has obtained the necessary internal approvals or authorizations. Its core function is to provide certainty about when contractual obligations begin and to ensure that all parties are properly empowered to enter into the agreement, thereby reducing the risk of disputes over enforceability.
