Effect on Equity Awards Clause Samples
Effect on Equity Awards. The effect of Executive’s termination on any equity awards received by Executive prior to such termination shall be determined in accordance with the terms of the 2025 Plan (or any other equity plan adopted by the Company pursuant to which such awards were made), the award agreement relating to any such award and/or Section 4(b) below, and in the case of a termination relating to a Change in Control, Section 4(c) below.
Effect on Equity Awards. Notwithstanding any provision of this Article X, and except as otherwise provided in Article III, RemainCo shall remain responsible for administering and settling the RemainCo Equity Compensation Awards, and SpinCo shall remain responsible for administering and settling the SpinCo Equity Compensation Awards. Any provision in a retention agreement described in Schedule 10.1(a) or 10.1(b) which provides for the accelerated vesting of equity awards shall apply in accordance with its terms to RemainCo Equity Compensation Awards and SpinCo Equity Compensation Awards on and after the Employee Transfer Date.
Effect on Equity Awards. Notwithstanding any provision of this Article X, and except as otherwise provided in Article III, ▇▇▇▇▇ NXT, Co. shall remain responsible for administering and settling the Crane NXT, Co. Equity Compensation Awards, and Crane Company shall remain responsible for administering and settling the Crane Company Equity Compensation Awards. Any provision in a Crane NXT, Co. Individual Agreement or Crane Company Individual Agreement, which provides for the accelerated vesting of equity awards shall apply in accordance with its terms to Crane NXT, Co. Equity Compensation Awards and Crane Company Equity Compensation Awards on and after the Effective Time. To the extent any provision in this Agreement conflicts with the terms of any Crane NXT, Co. Individual Agreement or Crane Company Individual Agreement, then the terms of the Crane NXT, Co. Individual Agreement or Crane Company Individual Agreement shall control.
Effect on Equity Awards. The effect of the termination of Employee’s employment with the Company under this Agreement upon the terms of vesting, exercise or other terms of any grants of stock options, restricted stock or other equity awards shall be as specified by the terms and conditions of those equity awards excepts as otherwise expressly and specifically provided in this Agreement.
Effect on Equity Awards. No Company Option shall be assumed by Parent, and the Company shall cause each such Company Option to be either (A) exercised by the holder of such Company Option in full or (B) to the extent not vested or not exercised in full, terminated or canceled as of immediately prior to the Closing, either pursuant to its terms or pursuant to an agreement with the holder thereof.
