Common use of Effect of Transaction Clause in Contracts

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Schedule 2.25(i)(i), the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided set forth in Section 1.6 2.11(i)(i) of this Agreement or as set forth on Schedule 2.25(i)(i)the Company Disclosure Letter, the execution of this Agreement and the consummation of the transactions contemplated hereby Transactions or any termination of employment or service in connection therewith will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Employment Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any EmployeeEmployee other than accrued payments (each, a “Benefit”).

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Schedule 2.25(i)(i), the execution of this Agreement and the ------------------- consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 1.8 of this Agreement or as set forth on in Schedule 2.25(i)(i)2.20(h)(i) of the KnowledgeWell Disclosure Letter, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company KnowledgeWell Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on in Schedule 2.25(i)(i4.25(g)(i), the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events which, standing alone, would not constitute events) constitute an event under any Company Employee Plan, International Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 2.22(i) of the Disclosure Schedule and as expressly required by this Agreement or as set forth on Schedule 2.25(i)(i)otherwise required by applicable foreign, federal, state or local law, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Section 3.12(f) of the Company Schedule 2.25(i)(i)of Exceptions, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Plan or Employee Agreement, trust Agreement or loan otherwise that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtednessIndebtedness, vesting, distribution, indemnification, increase in benefits, limitation on Company’s right to amend or terminate benefits or obligation to fund benefits with respect to any Employee. No payment or benefit which will or may be made by the Company or its ERISA Affiliates to any Employee will be characterized as a “parachute payment” within the meaning of Section 280G(b)(2) of the Code.

Effect of Transaction. (i) Except as provided in Section 1.6 of --------------------- this Agreement or as set forth on Schedule 2.25(i)(i2.26(i)(i), the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent eventsevents other than Pension Plan termination) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Schedule 2.25(i)(i)Section 2.19(i) of the Seller Disclosure Letter or as required by Section 5.4 hereof, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Seller Employee Plan, Employee Employment Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Schedule 2.25(i)(i), The execution and delivery by the execution Company of this Agreement and each of the Related Agreements, the performance by the Company of its obligations hereunder and thereunder, and the consummation by the Company of the transactions contemplated hereby and thereby, will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Schedule 2.25(i)(i)in Part 3.13(i) of the Disclosure Letter, the execution of this Agreement and the consummation of the transactions contemplated contem-plated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwiseother-wise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnificationdistri-bution, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided set forth in Section 1.6 2.11(i)(i) of this Agreement or as set forth on Schedule 2.25(i)(i)the Company Disclosure Letter, the execution of this Agreement and the consummation of the transactions contemplated hereby Transactions or any termination of employment or service in connection therewith will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Employment Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any EmployeeEmployee other than accrued payments (each, a "Benefit").

Effect of Transaction. (i) Except as provided in Section 1.6 of this Agreement or as set forth on Schedule 2.25(i)(i)2.26(i) of the Company Schedules, the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreement, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee.

Effect of Transaction. (i) Except as provided set forth in Section 1.6 2.15(i) of this Agreement or as set forth on Schedule 2.25(i)(i)the Company Disclosure Schedule, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Employee Plan, Employee Agreementagreement listed in Section 2.19(a)(i) of the Company Disclosure Schedule, trust or loan that will or may result in any payment (whether of severance pay or otherwise), acceleration, forgiveness of indebtedness, vesting, distribution, indemnification, increase in benefits or obligation to fund benefits with respect to any Employee or former Employee.
