The existence of CSI, as the entity whose ownership interests are being acquired, shall continue unaffected and unimpaired as a corporation governed by the laws of the State of New Hampshire, with the exception that it shall be a wholly owned and operated subsidiary of Chantal.
Effect of the Exchange. As of the Effective Time, the effect of the Exchange will be as provided in this Agreement and the applicable provisions of Chapter 92A of the Nevada Revised Statutes. Without limiting the generality of the foregoing, and subject thereto, as of the Effective Time, 808 Energy 3 will become and be a wholly owned Subsidiary of 808 Renewable.
