Effect of Termination of the Agreement. 8.5.1. Termination of this Agreement for any reason shall not release any party hereto from any liability which, at the time of such termination, has already accrued to the other party or which is attributable to a period prior to such termination, or preclude either party from pursuing any rights and remedies it may have hereunder or at law or in equity which accrued or are based upon any event occurring prior to such termination. 8.5.2. Upon any termination of this Agreement, each party and its Affiliates shall promptly return to the other party all Confidential Information of the other party in whatever form held (including all copies or embodiments thereof), except that a party and its Affiliates may retain the other party’s Confidential Information in its possession, custody or control only as necessary to exercise the license rights that survive termination (if any).
