Common use of Effect of Amendment and Restatement Clause in Contracts

Effect of Amendment and Restatement. On the Effective Date, the Existing Credit Agreement shall be amended and restated in its entirety. The parties hereto acknowledge and agree that (i) this Agreement and the other Loan Documents, whether executed and delivered in connection herewith or otherwise, do not constitute a novation, payment and reborrowing, or termination of the obligations under the Existing Credit Agreement as in effect immediately prior to the Effective Date, which remain outstanding and (ii) such obligations are in all respects continuing (as amended and restated hereby).

On Upon the Effective Closing Date, the Existing Original Credit Agreement (and, except as otherwise set forth in the following proviso, all obligations and rights of any party thereunder) shall be amended and restated by this Agreement; provided, however, that the obligations to repay the loans and advances arising under the Original Credit Agreement shall continue in its entirety. The parties hereto acknowledge full force and agree that (i) effect and the liens and security interests securing payment thereof shall be continuing but shall now be governed by the terms of this Agreement and the other Loan Documents, whether executed and delivered in connection herewith or otherwise, do not constitute a novation, payment and reborrowing, or termination of the obligations under the Existing Credit Agreement as in effect immediately prior to the Effective Date, which remain outstanding and (ii) such obligations are in all respects continuing (as amended and restated hereby)..
