Common use of Edison Clause in Contracts

Edison. Edison shall retain the sole right, but not obligation, to file, prosecute, and maintain (including interferences, oppositions, reexaminations, reissues, inter paiies reviews and similar proceedings) Licensed Patents and Joint Patents outside of the Licensed Territory, during the Te1m, Apollomics (A) intends to allow any Licensed Patent or Joint Patent to expire or intends to othe1wise abandon any such Licensed Patent or Joint Patent for which it is responsible pursuant to this subsection 1 l .4(ii), or (B) decides not to prepare or file patent applications Covering Joint fuventions, Apollomics shall notify Edison of such intention or decision at least (or as soon as possible if less that9111111111111) prior to any filing or payment due date, or any other date that requires action, in connection with such Licensed Patent, Joint Patent or Joint fuvention, and Edison shall thereupon have the right, but not the obligation, to assume responsibility for the prepai·ation, filing, prosecution or maintenance thereof at its sole cost and expense.
