Early Termination Charge. The Subscription pricing provided under an Order Form is based on the Subscription term commitment made by you. If you terminate a Subscription prior to the end of the then- current Subscription Term, (a) you will endeavor to give us at least ten (10) business days prior written notice of such early termination, (b) such early termination constitutes a breach hereunder, and (c) regardless of whether such notice was provided, as our sole and exclusive remedy for your early termination of that Subscription under this Section C.1 you agree to pay to us an early termination charge equal to the number of months remaining in the then-current term multiplied by the monthly Subscription fee for that Subscription. You acknowledge that (i) the Subscription fees you agreed to in the applicable Order Form(s) reflected our expectation that you would use our Trimble-Provided Hardware and Software for the duration of the Subscription Term and was set accordingly, (ii) our actual damages arising from such termination are impossible to ascertain and are not capable of being ascertained by any satisfactory and known rule, (iii) the termination charges are a good faith, fair and reasonable estimate of such damages, and (iv) such charges constitute liquidated damages and not a penalty or forfeiture, and shall not be deemed to be a penalty or forfeiture.

Early Termination Charge. If Customer terminates this agreement, in whole or in part, prior to the end of the then current term, in addition to any other damages or liability of Customer resulting from such termination, Customer must pay a lump sum Early Termination charge as follows:

Early Termination Charge. Subject to the provisions contained in Subsection 2.15, the Borrowers may terminate this Agreement at any time other than at the end of the Term upon the payment by the Borrowers to Agent for the account of the Lenders (based on their respective Proportionate Shares), in addition to payment of the then outstanding principal and accrued interest and payment and performance of all other Liabilities (including without limitation any fees due under Section 2 hereof and any other fees owed to Agent or Lenders), of a termination charge (the "Termination Charge") in an amount equal to two percent (2.00%) if such termination occurs prior to March 31, 1997 and one percent (1.00%) if such termination occurs on or after March 31, 1997 but prior to March 31, 1998 of the Maximum Facility Amount minus (i) the amount of any payment of the Liabilities on which Rail has paid a Prepayment Fee, (ii) the amount of any reduction in the Total Revolving Commitments and the Total Acquisition Commitments on which any Borrower has paid a Commitment Reduction Fee, (iii) the amount of any reduction in the Total Acquisition Commitments which Rail made without incurring any Prepayment Fee under Subsection 2.21(C) and (iv) the amount of prepayments made prior to the time of such termination on the Acquisition Loans on which no fee was payable.
