Duties of Paying Agent. (a) If the Corporation shall appoint a Paying Agent other than the U.S. Trustee with respect to Securities of any series, it will cause such Paying Agent to execute and deliver to the U.S. Trustee an instrument in which such Paying Agent shall agree with the U.S. Trustee, subject to the provisions of this Section and Section 12.3,
